Codestern provides web development, design, and digital services. The specific scope, deliverables, timeline, and fees for any project will be set out in a separate agreement, proposal, or statement of work. These Terms apply to the general use of our website and form the baseline for any client engagement unless expressly superseded by a signed contract.

3. Use of our website

You agree to use our website only for lawful purposes and in a way that does not:

  • Infringe any applicable laws or regulations
  • Infringe the rights of any third party
  • Transmit viruses, malware, or other harmful code
  • Attempt to gain unauthorised access to our systems or networks
  • Use the website for any purpose that is harmful, abusive, or fraudulent

We reserve the right to suspend or terminate your access to our website if we believe you have breached these Terms.

4. Intellectual property

All content on this website, including text, graphics, logos, and design, is the property of Codestern or its licensors and is protected by copyright and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our prior written consent.

For client projects, ownership of deliverables will be as agreed in the relevant project agreement. Unless otherwise agreed, we retain the right to use anonymised project work in our portfolio and marketing materials.

5. Client obligations

When engaging our services, you agree to provide timely feedback, content, and approvals required for the project. Delays caused by your failure to do so may affect timelines and may result in additional fees. You are responsible for ensuring that any content or materials you provide do not infringe third-party rights and that you have the authority to provide them.

6. Fees and payment

Fees for our services will be set out in the relevant proposal or contract. Unless otherwise agreed, payment terms are typically net 14 or 30 days from invoice. We reserve the right to suspend work if invoices are overdue. Late payments may attract interest at the rate specified in the contract or at the statutory rate.

7. Limitation of liability

To the fullest extent permitted by law, Codestern shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our website or services. Our total liability for any claim arising from or relating to these Terms or our services shall not exceed the fees paid by you for the relevant project in the twelve months preceding the claim, or £1,000, whichever is greater.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded or limited under applicable law.

8. Warranties and disclaimers

Our website is provided "as is". We do not warrant that it will be uninterrupted, error-free, or free from viruses. For services, we warrant that we will perform them with reasonable skill and care. Any other warranties are excluded to the fullest extent permitted by law.

9. Termination

Either party may terminate a project engagement in accordance with the terms of the relevant contract. Upon termination, you shall pay for all work completed up to the termination date. We may terminate or restrict your access to our website at any time if we believe you have breached these Terms.

10. Confidentiality

Each party agrees to keep confidential any proprietary or sensitive information disclosed by the other in connection with the services, except where disclosure is required by law or with the other party's consent. This obligation survives termination of the engagement.

11. Governing law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12. Changes

We may amend these Terms from time to time. Continued use of our website or services after changes constitutes acceptance of the revised Terms. For ongoing projects, the Terms in effect at the start of the project apply unless otherwise agreed.
